These Terms of Use ("Terms") govern your access to and use of the Dispatch platform, website, and related services ("Services") provided by Dispatch AI, Inc. ("Dispatch," "we," "our," or "us"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By creating an account, you confirm that the information you provide is accurate and complete.

2. Account Registration

To access certain features of the Services, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or use.

We reserve the right to suspend or terminate accounts that violate these Terms, remain inactive for an extended period, or pose a security risk to the platform.

3. Permitted Use

Dispatch grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms and any applicable plan or subscription agreement. You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Services

• Use the Services to build a competing product or service

• Attempt to gain unauthorized access to any systems or networks connected to the Services

• Transmit any malicious code, viruses, or harmful content through the platform

• Use the Services in any manner that violates applicable laws or regulations

• Resell, sublicense, or redistribute access to the Services without written consent

4. Data and Content

4.1 Your Data

You retain ownership of all data, content, and materials you submit to the Services ("Your Data"). By using the platform, you grant Dispatch a limited license to process, store, and transmit Your Data solely for the purpose of providing and improving the Services.

4.2 Usage Data

We may collect anonymized and aggregated usage data related to your use of the Services. This data does not identify you or your customers and may be used to improve platform performance, develop new features, and generate industry benchmarks.

4.3 Third-Party Integrations

The Services allow you to connect third-party tools and platforms. You are responsible for ensuring that your use of these integrations complies with the respective third party's terms of service. Dispatch is not liable for the availability, accuracy, or security of third-party services.

5. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis depending on your selected billing cycle. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' written notice. Continued use after a price change constitutes acceptance of the new pricing.

If payment fails, we may suspend access to paid features until the balance is resolved. Free-tier accounts are subject to usage limits as described on our pricing page.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free access to the Services. Scheduled maintenance windows will be communicated in advance. We are not liable for any downtime, data loss, or service interruptions caused by factors outside our reasonable control.

7. Intellectual Property

All rights, title, and interest in the Services, including software, design, logos, documentation, and related materials, remain the exclusive property of Dispatch AI, Inc. Nothing in these Terms transfers any intellectual property rights to you beyond the limited license granted above.

8. Limitation of Liability

To the maximum extent permitted by law, Dispatch shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of revenue, data, or business opportunities. Our total cumulative liability shall not exceed the amount you paid for the Services in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Dispatch, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Termination

Either party may terminate these Terms at any time by providing written notice. Upon termination, your access to the Services will cease and we may delete your account data after a 30-day retention period. Sections relating to intellectual property, limitation of liability, and indemnification survive termination.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or through the platform at least 14 days before taking effect. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
